Parties.

These Terms of Agreement ("Agreement") are between Trueyogi Wellness Teknoloji A.Ş. (Hypera AI) ("AuraSkin") and the customer identified in an online checkout, order form, or integration request ("Customer").

Definitions.

  • "Service" means auraskin.ai and related websites, API/iframe integrations, SDKs, and cosmetic analysis/product recommendation features.
  • "Output" means analyses, scores, labels, and recommendations generated by the Service.
  • "Customer Content" means images and other data provided by Customer or its end users.
  • "Order Form/Plan" means the online checkout or executed order describing plan tier, pre-paid usage, overage rates, and term.
  • "Brand Integration" means the Customer's use of the API/iframe within its own digital properties.
  • "SLA" means any uptime/response commitments specified in an Order Form (none apply unless expressly stated).

    • Access & License.

    During the Term, AuraSkin grants Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for cosmetic analysis and product recommendation in accordance with this Agreement, documentation, and usage limits.

    Accounts, Keys & Security.

    API keys are confidential. Customer is responsible for all use under its accounts/keys and for promptly revoking keys suspected of compromise.

    Plans, Fees, Overage & Taxes.

  • **Pre-paid term.** Plans are billed monthly in advance or annually in advance (with discount).
  • **Usage.** All plans operate under the same core terms with different usage allotments.
  • **Overage.** If Customer exceeds its allotment, overage fees apply at the rate shown in the Order Form.
  • **Renewal & non-renewal.** Subscriptions auto-renew unless canceled before the term ends.
  • **Taxes.** Fees are exclusive of taxes; Customer is responsible for applicable taxes.

    • Term & Termination.

  • **Term.** The Agreement starts on the Effective Date and continues for the initial subscription term stated in the Order Form.
  • **Termination for cause.** Either party may terminate for material breach after written notice and a 30-day cure period.
  • **Effect.** Upon termination/expiration: (a) access ceases; (b) AuraSkin will delete or return Customer Content; and (c) accrued fees remain due.

    • Warranties & Disclaimers.

    THE SERVICE AND OUTPUTS ARE PROVIDED FOR COSMETIC INFORMATIONAL PURPOSES ONLY AND NOT AS MEDICAL ADVICE OR DIAGNOSIS. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS."

    Limitation of Liability.

    Neither party is liable for indirect, incidental, consequential, special, or exemplary damages. Each party's total liability will not exceed the amounts paid or payable by Customer in the 12 months preceding the event.

    Governing Law & Venue.

    This Agreement is governed by the laws of the Republic of Türkiye. The courts of Ankara (Çankaya) have exclusive jurisdiction.
